It's a wood fiber board with a thin asphalt coating often called "buffalo board" or "beaverboard", the trade name of the long defunct Beaver Board Co. It was an inexpensive exterior wall sheathing.
It would be wiser to remove the wood siding to make certain there is no damage. In addition, any signs of insect infestation will remain an issue when covering the wood with vinyl, so removing the wood siding is a better option. While whether to remove the existing wood siding is really a personal choice.

Sheathing should be applied vertically with the long edges parallel to the vertical studs. Center all joints over the framing members with a 1/8" gap between edges. Leave a 1/2" gap at the doors and windows. Sheathing should extend from sill to top plate.
Unless the fiberboard actually absorbed water, can't be dried, and / or is damaged, replacing it is not likely to be cost effective nor necessary. Unless there is a serious mold problem I'd leave the sheathing in place.
There's no real benefit to fiberboard other than it's cheap. You'd get more strength with oriented strand board or plywood, both of which are readily available.Jul 10, 2009
That's an important first step as vinyl siding should never be installed over the Masonite. Some vinyl siding replacement companies will simply attach the new vinyl to the old Masonite siding, which can cause issues in the future. It's actually extremely critical to remove the old Masonite from the exterior.Jul 25, 2018

The best practice for increasing the R-value in exterior walls is to protect them with insulated foam sheathing. Some builders use 1/2-inch wood sheathing (R-0.6) or asphalt impregnated sheathing, usually called blackboard (R-1.3) to sheath the walls.
